Registering a company in Nepal requires compiling specific documentation. Check off your files to track your OCR filing preparation status.

Step 1: Reservation & Initial Preparation

Name Approval: Approved company name on the OCR portal (must be unique, in both English and Nepali devanagari).

Citizenship Certificates: Notarized copies of Citizenship Cards (Nagarikta) for all Nepalese shareholders (or passports for foreigners).

Step 2: Statutory Drafts

Memorandum of Association (Prabandha Patra): The MOA detailing the company's objective clauses, capital structure, and shareholder list (drafted in Nepali on standard OCR format).

Articles of Association (Niyamawali): The AOA outlining governance rules, board of directors assembly, share transfers, and fiscal cycles (drafted in Nepali on standard OCR format).

Step 3: Filing & Post-OCR Obligations

Power of Attorney (Pratinidhi Patra): Signed delegation authority allowing your lawyer or representative to file on the OCR online system on behalf of the promoters.

OCR Registration Fee: Filing fee receipts paid to the OCR (varies based on Authorized Capital, starting from NPR 1,000 for capital up to NPR 100,000).
